AGREEMENT TO THESE TERMS
We are Synodi LLC ("Company," "we," "us," "our"), operating the website at https://www.synodi.app, the Synodi mobile application, and any related products and services that link to these Terms of Service (collectively, the "Services").

These Terms of Service constitute a legally binding agreement between you ("you" or "user") and Synodi LLC concerning your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this document and, where required by applicable law, by providing additional notice such as an in-app notification or email. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.

1. OUR SERVICES
Synodi is a mobile application available on iOS and Android that helps friend groups, families, and organizations plan, organize, and manage shared trips and group expenses. The Services include group expense splitting, trip planning tools, a collaborative grocery list, a photo gallery, a community board, and related features as described at https://www.synodi.app.
The Services are intended for use by individuals who are at least 18 years of age. Use of the Services from jurisdictions where such use is prohibited by local law is not authorized. Users who access the Services from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.
Synodi does not process payments between users. All financial settlements between users occur outside of the Services through third-party payment services of the user's choosing (such as Venmo, Cash App, or Zelle). Synodi is not responsible for any transactions conducted through third-party payment services.
2. PRICING AND PAYMENT
Launch Promotion — Free Access Period
From the date of launch until October 1, 2027 (the "Free Access Period"), all features of Synodi are available to all users at no charge. No credit card or payment information is required during the Free Access Period.
Paid Pricing — Effective October 1, 2027
Beginning October 1, 2027, trip creation will require a per-person fee paid by the trip organizer at the time of trip creation. Pricing at launch of the paid tier is as follows:
- Basic Plan: $3.00 per person per trip
- Full Plan: $8.00 per person per trip
"Per person" is calculated based on the number of participants declared in the trip at the time of payment. Participants added to a trip after the initial payment may require an additional per-person charge at the applicable rate.
We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of any price change via in-app notification and, where applicable, by email to the address associated with your account. Continued use of the Services after a price change takes effect constitutes your acceptance of the new pricing.
All in-app purchases are processed by Apple App Store or Google Play. By completing a purchase, you agree to their respective terms of service and payment policies. Synodi LLC does not collect, store, or process your payment card information.
Trip Grandfathering Policy
Trips created during the Free Access Period (before October 1, 2027) are subject to the following grandfathering provisions:
- Trip start date before October 1, 2028: If a trip was created before October 1, 2027 and has a scheduled start date before October 1, 2028, that trip will remain free regardless of when it occurs. No fee will be charged to the organizer or participants for that trip.
- Trip start date on or after October 1, 2028: If a trip was created before October 1, 2027 but has a scheduled start date on or after October 1, 2028, standard per-person pricing will apply. The applicable fee will be automatically added to the trip's expense tracker and allocated among trip participants as a shared expense, divided equally by default. Participants may adjust the expense allocation using Synodi's standard expense splitting tools before settlement.
By creating a trip during the Free Access Period with a scheduled start date on or after October 1, 2028, you acknowledge and agree that the applicable per-person fee will be applied to that trip and added to the shared expense tracker.
No Refunds
All purchases made through the Services are final and non-refundable except where required by applicable law or Apple App Store / Google Play refund policies. If you believe you have been charged in error, please contact us at hello@synodi.app within 30 days of the charge.
3. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We own or are licensed to use all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").
Our Content and Marks are protected by copyright and trademark laws and treaties around the world. The Content and Marks are provided through the Services for your personal, non-commercial use only.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended personal or internal business purpose. No part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, publicly displayed, encoded, transmitted, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission.
Any breach of these intellectual property rights will constitute a material breach of these Terms and your right to use the Services will terminate immediately.
Your submissions and contributions
By sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you assign to us all intellectual property rights in such Submission. We may use Submissions for any lawful purpose without acknowledgment or compensation to you.
You retain ownership of content you post or upload through the Services ("Contributions"), such as expense notes, photos, and community board posts. By posting Contributions, you grant us a limited license to store, display, and transmit your Contributions solely as necessary to operate the Services. We do not claim ownership of your Contributions.
You are solely responsible for your Contributions and represent that they do not infringe any third party's intellectual property rights or violate any applicable law.
4. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- You are at least 18 years of age or the equivalent minimum age in your jurisdiction;
- You have the legal capacity to agree to these Terms;
- You will not access the Services through automated or non-human means, such as bots or scripts;
- You will not use the Services for any illegal or unauthorized purpose; and
- Your use of the Services will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.
5. PROHIBITED ACTIVITIES
You may not use the Services for any purpose other than that for which they are made available. As a user, you agree not to:
- Systematically retrieve data or content from the Services to create a database or directory without our written permission
- Trick, defraud, or mislead us or other users, including any attempt to obtain sensitive account information such as passwords
- Circumvent, disable, or interfere with security-related features of the Services
- Harass, abuse, harm, or intimidate any other user or person through the Services
- Make improper use of our support services or submit false reports of abuse or misconduct
- Use the Services in a manner inconsistent with any applicable laws or regulations
- Upload or transmit viruses, malware, or other harmful code
- Attempt to impersonate another user or person
- Use automated tools such as scrapers, bots, or data mining software to access the Services
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to decipher, decompile, disassemble, or reverse engineer any software comprising the Services, except as permitted by applicable law
- Collect usernames or email addresses of other users for the purpose of sending unsolicited communications
- Use the Services to compete with us or for any unauthorized commercial purpose
6. USER GENERATED CONTRIBUTIONS
Users may create, upload, post, or transmit content through the Services, including expense notes, photos, community board posts, polls, and announcements (collectively, "Contributions"). Contributions may be visible to other members of your trip or group.
By posting Contributions, you represent and warrant that:
- You own or have the necessary rights to post the Contributions and to grant the licenses described in these Terms
- Your Contributions do not violate the intellectual property rights, privacy rights, or other rights of any third party
- Your Contributions are not illegal, defamatory, obscene, harmful, threatening, harassing, or otherwise objectionable
- Your Contributions do not contain viruses or other harmful code
You are solely responsible for your Contributions. We are not liable for any statements or representations in your Contributions.
7. CONTRIBUTION LICENSE
By posting Contributions to the Services, you grant us a limited, non-exclusive, royalty-free license to store, display, and transmit your Contributions solely to the extent necessary to operate and provide the Services to you and your trip participants. This license exists only for the purpose of running the Services and does not give us the right to sell, commercialize, or use your Contributions for any purpose beyond operating the Services.
We do not assert ownership over your Contributions. You retain full ownership of all Contributions and any associated intellectual property rights.
By submitting feedback or suggestions about the Services, you agree that we may use such feedback for any purpose without compensation to you.
8. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Terms
- Take appropriate action against anyone who violates these Terms or applicable law, including reporting to law enforcement
- Refuse, restrict, or limit access to the Services or any portion thereof at our discretion
- Remove content that is excessive in size or burdensome to our systems
- Otherwise manage the Services to protect our rights and ensure proper functioning
9. TERM AND TERMINATION
These Terms remain in effect while you use the Services. We reserve the right to deny access to, suspend, or terminate your account at any time in our sole discretion, including for breach of these Terms, without notice or liability.
If your account is terminated, you are prohibited from creating a new account under your name, a false name, or the name of any third party. We reserve the right to take appropriate legal action following termination, including pursuing civil, criminal, or injunctive relief.
Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property rights, disclaimer, limitations of liability, indemnification, and dispute resolution — will survive termination.
10. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove content or features of the Services at any time in our sole discretion. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services, except that we will provide at least 30 days' advance notice of any material change to pricing as described in Section 2.
We cannot guarantee that the Services will be available at all times. The Services may experience downtime due to maintenance, hardware or software issues, or other causes beyond our control. We have no liability for any loss, damage, or inconvenience caused by your inability to access the Services during any downtime or discontinuance.
11. GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles. You and Synodi LLC irrevocably consent to the exclusive jurisdiction of the courts located in Oregon to resolve any dispute arising from these Terms or the Services, subject to the arbitration provisions in Section 12.
12. DISPUTE RESOLUTION
Informal Negotiations
Before initiating arbitration, the parties agree to first attempt to resolve any dispute informally for at least 30 days. Informal negotiations begin upon written notice from one party to the other sent to hello@synodi.app.
Binding Arbitration
If the parties are unable to resolve the dispute through informal negotiation, the dispute will be finally resolved by binding arbitration under the United Nations Commission on International Trade Law Arbitration Rules. The number of arbitrators shall be one (1). The seat of arbitration shall be Portland, Oregon, United States. The language of proceedings shall be English. The governing substantive law shall be the law of Oregon.
No Class Actions
All arbitration shall be conducted on an individual basis. To the fullest extent permitted by law: (a) no arbitration may be joined with any other proceeding; (b) there is no right to arbitrate on a class-action basis or to use class action procedures; and (c) there is no right to bring a claim in a purported representative capacity on behalf of the general public or any other persons.
Exceptions
The following disputes are not subject to the informal negotiation and arbitration provisions above: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief. If any portion of this section is found to be illegal or unenforceable, that portion shall be severed and the remaining provisions shall remain in effect.
13. CORRECTIONS
The Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update information at any time without prior notice, except that changes to pricing will be subject to the 30-day advance notice requirement in Section 2.
14. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT. WE ARE NOT LIABLE FOR: (1) ERRORS OR INACCURACIES IN CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICES; (3) UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; (4) INTERRUPTIONS OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (5) BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICES BY THIRD PARTIES; OR (6) ANY LOSS OR DAMAGE ARISING FROM CONTENT POSTED OR TRANSMITTED VIA THE SERVICES.
SYNODI IS AN EXPENSE TRACKING AND TRIP ORGANIZATION TOOL ONLY. WE DO NOT VERIFY THE ACCURACY OF EXPENSES ENTERED BY USERS, GUARANTEE THAT SETTLEMENTS BETWEEN USERS WILL OCCUR, OR ASSUME ANY RESPONSIBILITY FOR FINANCIAL DISPUTES BETWEEN USERS. ALL FINANCIAL TRANSACTIONS BETWEEN USERS OCCUR OUTSIDE OF THE SERVICES.
15. LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SYNODI LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SYNODI LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Synodi LLC and its officers, agents, and employees from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of: (1) your use of the Services; (2) your breach of these Terms; (3) your violation of the rights of any third party, including intellectual property rights; or (4) any harmful act toward another user of the Services.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims. We will make reasonable efforts to notify you of any such claim upon becoming aware of it.
17. USER DATA
We will maintain certain data you transmit to the Services for the purpose of managing and providing the Services. You are responsible for maintaining backup copies of any data you consider important. Although we perform routine backups, we are not liable to you for any loss or corruption of your data. By using the Services, you waive any right of action against us arising from such loss or corruption.

18. ELECTRONIC COMMUNICATIONS AND SIGNATURES
By using the Services, you consent to receive electronic communications from us, including via email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, and records in connection with your use of the Services.
19. MISCELLANEOUS
These Terms, together with our Privacy Policy and any other policies posted on the Services, constitute the entire agreement between you and Synodi LLC regarding your use of the Services.
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. If any provision of these Terms is found to be unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full effect.
We may assign our rights and obligations under these Terms to any party at any time. You may not assign your rights under these Terms without our prior written consent.
We are not responsible for any failure to perform or delay in performance caused by circumstances beyond our reasonable control, including acts of nature, government action, internet outages, or third-party service failures.
